An audit rights clause lets one party inspect the other's books, records or facilities to check that payments, royalties or standards under the contract are correct. The clause also decides how often audits can happen, how much notice is given, and who pays when an audit finds a gap.

How common is it?
In the 510 public-company commercial contracts of the CUAD dataset (The Atticus Project, CC BY 4.0), 214 (42.0%) contain audit rights.
Among contract types with at least 20 contracts in the set, it shows up most in co-branding agreements (15 of 22), development agreements (15 of 29) and distribution agreements (16 of 32).

What to watch for
- No limit on how often an audit can happen.
- Short or no notice, or access to records unrelated to the contract.
- The audited party paying for every audit, whatever it finds.
A realistic example
A small manufacturer agrees to “audits at any time.” Its customer sends inspectors three times in one quarter, each visit stopping a production line for a day.
What to ask for
- At most one audit a year, during business hours, with 30 days' notice.
- The auditing party pays, unless the audit finds an underpayment above an agreed percentage.
