What Is an Entire Agreement Clause in a Contract?

An entire agreement clause, also called a merger or integration clause, says the written contract is the whole deal between the parties and replaces earlier discussions, emails and promises on the same subject. Something agreed before signing that is not written into the contract may no longer count, even if both sides remember it.

Why it matters

Promises made during a sale or a negotiation, such as a discount, a support level or a delivery date, can fall away if they never made it into the document. The clause makes the written text the thing to check.

How common is it?

In the LexGLUE version of LEDGAR, a research set of 80,000 contract provisions from SEC filings, each labelled with one of 100 common provision types, 3,105 (3.88%) are labelled "Entire Agreements". That is a share of provisions, not of contracts. It is the 4th most common of the 100 provision types in this set.

These are provisions from contracts that public companies filed with the SEC — a reference point, not a rule for your contract.

What to watch for

  • Important promises that exist only in emails or on a sales call.
  • A clause that also shuts out the proposal, quote or order form you rely on.
  • One-way wording that keeps the other side's policies in force but not your terms.

A realistic example

A café owner is promised free installation in a sales email. The signed equipment lease has an entire agreement clause and says nothing about installation, and the supplier later invoices for it.

What to ask for

  1. Every promise you rely on written into the contract or a listed attachment.
  2. A list of the documents that form part of the agreement, such as the proposal or statement of work.
