Six things worth checking in an IP agreement

Exactly what is being assigned.

Check the list of rights: patents, copyrights, trademarks, know-how — and whether future work is included.

Rights that can never be taken back.

Irrevocable or perpetual licenses outlast the contract. Worth knowing before you grant one.

Affiliates and sublicensees.

A license that extends to the other side's affiliates can reach companies you never dealt with.

A license back to you.

If you assign IP you still need, a common thing to ask for is a license back for your own use.

Moral rights and credit.

Check whether you waive the right to be named as the author, where that applies.

Warranties you give about the IP.

Promising the IP is original and infringes no one is common; check what you owe if a claim appears.

What IP agreements in a public contract dataset contain

We counted clauses in the 17 IP agreements among 510 public-company commercial contracts from the CUAD dataset (The Atticus Project, CC BY 4.0). These are larger-company deals, not a sample of every IP agreement — use them as a reference point, not a rule.

Stands out

An assignment of IP ownership: 15 of 17 (88.2%) — across all 510 contracts: 24.3%.
A license that extends to the licensee's affiliates: 12 of 17 (70.6%) — across all 510 contracts: 11.6%.
An irrevocable or perpetual license: 11 of 17 (64.7%) — across all 510 contracts: 13.7%.

In this set, IP agreements assigned ownership, extended licenses to affiliates and granted irrevocable or perpetual rights far more often than the average contract — what you give here tends to be permanent.

Small sample: with 17 contracts, one contract moves a percentage by about 5.9 points. A clause being rare here is not a reason to leave it out of yours.

Is the IP agreement review free?

Is an IP assignment different from a license?

Yes. An assignment transfers ownership; a license gives permission to use while ownership stays put. The analysis says which one your document does.

Can this help with a work-for-hire clause in a job or freelance contract?

Is my IP agreement private?

It is private to your account and is never used to train models. Uploaded files are deleted after 30 days. From 30 September 2026, your report stays in your account until you delete it.
