Six things worth checking in an outsourcing agreement

Leaving without cause — and the fee for it.

Many outsourcing deals allow exit without cause but charge for it. Check the amount and how it falls over time.

Fixed penalties for missed service levels.

Service credits or set damages are common. Check whether they are the only remedy or come on top of others.

Handover at the end.

Look for exit assistance: how long the provider must help move the work, and at what price.

Insurance on the provider's side.

Check the types and amounts, and whether you are named on the policy.

Staff and subcontractors.

Check whether the provider may subcontract, and whether either side may hire the other's people.

Data and confidentiality.

Look at where your data is kept, who can access it, and how it is returned or deleted at the end.

What outsourcing agreements in a public contract dataset contain

We counted clauses in the 18 outsourcing agreements among 510 public-company commercial contracts from the CUAD dataset (The Atticus Project, CC BY 4.0). These are larger-company deals, not a sample of every outsourcing agreement — use them as a reference point, not a rule.

In this set, outsourcing agreements required insurance, fixed damages in advance and allowed exit without cause more often than the average contract — the way out is priced in.

Small sample: with 18 contracts, one contract moves a percentage by about 5.6 points. A clause being rare here is not a reason to leave it out of yours.
