Six things worth checking in an NDA

No end date on the obligation.

Some NDAs run for a fixed term; some run forever for anything labelled a trade secret. Worth knowing which one you have, and a common thing to ask for is a plain end date — often two to five years.

One-way when the information goes both ways.

A unilateral NDA binds only you. If you will also be sharing your own material, how this usually works is a mutual NDA, where both sides carry the same duty.

A very wide definition of “Confidential Information”.

If the definition has no carve-outs, it can cover things you already knew or that are already public. The standard carve-outs to ask about: already known to you, publicly available, independently developed, or required to be disclosed by law.

A non-solicit or non-compete tucked inside.

These are different promises from confidentiality — about who you may hire or work for, not about what you may repeat. They often appear in the same document without being named in the title.

Return-or-destroy with no room for backups.

Most people cannot delete a file from an automatic backup on demand. A common thing to ask for is an exception for routine backups and copies you must keep by law.

Where a dispute would be heard, and who pays for it.

Governing law and venue far from you, plus wording that lets the other side go straight to court for an injunction and recover its legal fees, changes what a disagreement would cost you.

Questions people ask

Is the NDA review free?

Yes — your first analysis is free for good, one contract per account, no card. You get the risk score and every finding by name, with the two most important explained in full. The rest are listed but locked until you unlock the report for $9 or start a plan.

Will this tell me if my NDA is enforceable?

No. Whether a particular clause holds up depends on where you are and on facts outside the document, and that is a question for a lawyer. The analysis does not apply the law of any particular country to your NDA. What you get here is what the NDA says, in plain English, and what people usually ask to change.

Mutual or one-way — how do I tell?

The analysis says which one you have and where it is defined. If it is one-way and you will also be sharing your own material, that difference will be in your findings.

Can I review an NDA I have already signed?

Yes. The analysis reads the document either way. It is just as useful for understanding what you are already bound by as for deciding what to sign.

Can I send the report to someone else?

Yes. Every plan can download the report as a PDF or a Word file. On Expert and Business you can also download a redacted copy — names, addresses and contact details masked — or share a read-only link that expires after 1, 7 or 30 days. Masking is automatic, so check the copy before you send it.

Is my NDA private?

It is private to your account and is never used to train models. Uploaded files are deleted after 30 days. From 30 September 2026, your report stays in your account until you delete it.
