Six things worth checking in a joint venture agreement
Which law applies — if any is named.
If no governing law is stated, a dispute starts with an argument about where to have it. A common thing to ask for is a named law and venue.
Liability between the partners.
Check whether liability is capped, and whether each partner answers for the other's acts.
Contributions and what happens if one falls short.
Look at who contributes money, staff or IP, and the consequence if a contribution is late.
Decisions and deadlock.
Check which decisions need both partners and what happens if you disagree.
Who may use the venture's IP.
Check whether each partner may use results outside the venture.
Exit and buy-out.
Look for how a partner leaves, how its share is valued, and any first right to buy.
What joint venture agreements in a public contract dataset contain
We counted clauses in the 23 joint venture agreements among 510 public-company commercial contracts from the CUAD dataset (The Atticus Project, CC BY 4.0). These are larger-company deals, not a sample of every joint venture agreement — use them as a reference point, not a rule.

- A cap on liability: 1 of 23 (4.3%) — across all 510 contracts: 53.9%.
- A governing-law clause: 9 of 23 (39.1%) — across all 510 contracts: 85.7%.
- A license grant: 2 of 23 (8.7%) — across all 510 contracts: 50.0%.

In this set, joint venture agreements named a governing law, capped liability and granted licenses far less often than the average contract — the gaps are the thing to look for.
Small sample: with 23 contracts, one contract moves a percentage by about 4.3 points. A clause being rare here is not a reason to leave it out of yours.
