Six things worth checking in a license agreement

The field, territory and term.

A license is defined by what you may do, where, and for how long. Check all three against how you actually plan to use it.

Whether you can transfer or sublicense.

A non-transferable license may not survive a sale of your business. Worth asking about transfer to a buyer or an affiliate.

Royalties and how they are counted.

Look at the base (gross or net revenue), minimums, and when payments are due. Audit rights usually come attached.

Exclusive or not.

An exclusive license can be worth more — and often comes with performance targets you must hit to keep it.

Who owns improvements.

Some licenses make improvements you create belong to the licensor, or require you to license them back.

What happens at the end.

Check sell-off periods for existing stock, and whether you must stop using anything built on the licensed material.

What license agreements in a public contract dataset contain

We counted clauses in the 33 license agreements among 510 public-company commercial contracts from the CUAD dataset (The Atticus Project, CC BY 4.0). These are larger-company deals, not a sample of every license agreement — use them as a reference point, not a rule.

Stands out

A license grant: 29 of 33 (87.9%) — across all 510 contracts: 50.0%.
A non-transferable license: 17 of 33 (51.5%) — across all 510 contracts: 27.1%.
Revenue or profit sharing: 18 of 33 (54.5%) — across all 510 contracts: 32.5%.

In this set, license agreements granted a license, restricted its transfer and shared revenue far more often than the average contract — the limits on use are where the money is.

Small sample: with 33 contracts, one contract moves a percentage by about 3 points. A clause being rare here is not a reason to leave it out of yours.

Is the license agreement review free?

Does this work for software licenses and EULAs?

Yes for negotiated software licenses you can upload. Click-through terms you cannot change are readable too, but the “what to ask for” part will matter less.

I'm the licensor — is this useful?

Yes. Findings name which side a clause favors, so you can check your own draft for gaps before you send it.

Is my license agreement private?

It is private to your account and is never used to train models. Uploaded files are deleted after 30 days. From 30 September 2026, your report stays in your account until you delete it.
