Six things worth checking in a manufacturing agreement
Minimum orders and forecasts.
Check whether forecasts are binding, how far ahead, and what you owe if actual orders fall short.
Audit and inspection rights.
Look at how often, with how much notice, and who pays for an audit that finds a problem.
Defects and recalls.
Check who decides a batch is defective, the time limit for rejecting it, and who pays for a recall.
Insurance on both sides.
Product liability insurance is commonly required. Compare the amounts with your current policy.
Tooling and molds.
Who owns tooling you paid for, and can you take it to another manufacturer if you leave?
Your specifications and IP.
Check that your designs stay yours and that the manufacturer may not make the same product for others.
What manufacturing agreements in a public contract dataset contain
We counted clauses in the 17 manufacturing agreements among 510 public-company commercial contracts from the CUAD dataset (The Atticus Project, CC BY 4.0). These are larger-company deals, not a sample of every manufacturing agreement — use them as a reference point, not a rule.

- A minimum purchase commitment: 11 of 17 (64.7%) — across all 510 contracts: 32.4%.
- Audit rights: 12 of 17 (70.6%) — across all 510 contracts: 42.0%.

In this set, manufacturing agreements set minimum commitments and audit rights more often than the average contract, and none shared revenue — it is a volume-and-quality contract, not a partnership.
Small sample: with 17 contracts, one contract moves a percentage by about 5.9 points. A clause being rare here is not a reason to leave it out of yours.

Is my manufacturing agreement private?
