Six things worth checking in a maintenance agreement
What is excluded.
Maintenance contracts often exclude misuse, third-party parts or older versions. The exclusions decide what you are really paying for.
Response and fix times.
A response time is not a fix time. Check whether both are promised, and what happens if they are missed.
Renewal and price increases.
Check how the fee changes at renewal and the notice date to stop it.
Parts and labor.
Look for whether replacement parts are included or billed separately.
End of support.
Check whether the provider can stop supporting a product version, and with how much notice.
The liability cap.
Check the cap amount and whether damage caused during maintenance sits inside it.
What maintenance agreements in a public contract dataset contain
We counted clauses in the 34 maintenance agreements among 510 public-company commercial contracts from the CUAD dataset (The Atticus Project, CC BY 4.0). These are larger-company deals, not a sample of every maintenance agreement — use them as a reference point, not a rule.

- Exclusivity: 1 of 34 (2.9%) — across all 510 contracts: 35.3%.
- A license grant: 8 of 34 (23.5%) — across all 510 contracts: 50.0%.
- Revenue or profit sharing: 3 of 34 (8.8%) — across all 510 contracts: 32.5%.

In this set, maintenance agreements rarely granted exclusivity, a license or a revenue share compared with the average contract — they are narrow service promises, so the exclusions carry the weight.
Small sample: with 34 contracts, one contract moves a percentage by about 2.9 points. A clause being rare here is not a reason to leave it out of yours.
